    Large asset manager which is based in the city centre. While this role is on a fixed term contract, there could be the option for a permanent position. The salary on offer is very attractive.
  • The Role
    Large Asset Manager has an opportunity for an experienced Assistant Company Secretary for an 18 months fixed term contract. The Company Secretariat and Governance team provides extensive company secretarial and governance advice to the business.

    Main area of responsibilities will include:

    - Supporting and assisting both the Company Secretary and Deputy Company Secretary
    - Assisting with the provision of a comprehensive company secretarial and governance support to various boards and management committees
    - Working to ensure corporate governance and administration of the various companies within the group meets all the relevant regulatory requirements
    - Assisting with the development and improvement / change to governance standards such as legislation, regulation , good practice or general industry developments
    - Preparing agendas, draft board papers and board packs
    - Organising board or committee meetings
    - Preparing documents for board or shareholder approval
    - Preparing draft board minutes
    - If required, undertaking Acting Secretary responsibilities
    - Keeping up-to-date company books, management committee records and lists and registers required by Group Secretariat
    Completing internal processes and statutory / filing requirements including winding up companies, completing capital injections. Appointing or removing directors, filing annual reports, accounts and annual returns
  • The Person
    Ideally the Assistant Company Secretary will have an asset management / financial services background however this is not essential.

    Other skills should include:

    - Previous company secretarial experience
    - An understanding of the Laws, Regulations and Standards which apply to UK subsidiary companies
    - Strong attention to detail
    - Strong planning and organisational skills
    - Relationship building skills
    - Ideally ISCA or studying towards this
